    第五小组第一周作业汇总:
    共有两个文件,第一个文件: 共4页,第一页是一个LLC公司向私人借15万美元的借条。15年到期,10% 年利率。这个note有以下特点:1)条款相对简单友好;2)没有prepayment penalty; 3) Secured on real estate; 4) 没有详细定义违约,违约后果相对简单;5)有借款人的个人担保 – 这点很重要,债主可以追索借款人个人财产。
    第2-4页是一个LLC公司向银行借75万美元的promissory note。一年到期,开始利率7%,每个季度增加0.25%。这个note有以下特点:1)条款很细很严苛;2)详细定义了各种违约;3)违约后果严重;4)担保条件极其苛刻:claim on 所有商业资产,一个商业地产,和借款人的住宅;5)这些条款对借款公司债务重组以及借款人个人及商业地产refinance,都有极其多的束缚。
